We provide a full range of legal services related to sanctions and counter-sanctions regulation of financial markets, including support for the placement of replacement bonds, amendment of the terms of existing Eurobond issuances, termination of depositary receipt programs, delisting, primary listing in Russia, transfer of shares for trading in Russia, and development of payment receipt mechanisms.

We have supported transactions to amend the terms of more than 40 Eurobond issuances and work closely with the LCPIS team, which provides trustee, proxy, information, and tabulation agent services on the Eurobond market for collecting holders’ votes. The infrastructure capabilities provided by FOCUS Management give our clients access to foreign financial markets.

Over the past few years, we have supported transactions governed by English law with a total value of more than USD 4 billion.

We actively cooperate with the Bank of Russia, the Ministry of Finance, and NSD on issues related to foreign financial infrastructure, and we also participated in drafting Federal Law No. 319-FZ on the procedure for converting Eurobonds into Russian securities.
