LECAP provided comprehensive legal support to the borrowers, including:
analysis of the current documentation for the eurobond issuances and development of proposals regarding the issues for which it would be advisable to obtain the consent of the eurobond holders for such issuances;
advising on the procedure for obtaining the consent of eurobond holders from the perspective of the eurobond issuance documentation and English law, taking into account the requirements of applicable law;
preparation and negotiation of the consent solicitation memorandum (CSM) and other documents relating to the consent solicitation;
advising on disclosure of the fact of holding the meeting for consent solicitation purposes.
The bondholder representative LCPIS acted in the interests of Russian and foreign investors, in particular, performing the functions of information and tabulation agent in connection with the consent solicitation procedure for eurobond holders. After the relevant consents were obtained, LCPIS was appointed trustee for all eurobond issuances of the borrowers in order to protect the rights and legitimate interests of the eurobond holders. LCPIS also carried out agency functions, representing the interests of investors in relation to 43 eurobond issuances.
