IPO of GDRs of Softline Holding plc on LSE and MOEX

On October 27, 2021, an international IT company Softline held an IPO on the London Stock Exchange in the form of an offer of GDRs representing ordinary shares of the company, with a secondary listing on the Moscow Exchange. Moscow Exchange included the securities in the Level 1 segment of its quotation list, and trading on the Moscow Exchange commenced on November 1, 2021.
LECAP acted as a legal advisor to Softline on Russian law. Our services included support for obtaining listing on the Moscow Stock Exchange, as well as assistance to Softline in structuring an offer and preparing contractual documentation for a transaction in the part affected by Russian law. During the IPO, the company raised about USD 400 million, which it plans to use for further organic and inorganic development.
